This Ambassador Agreement (the "Agreement") is a legally binding contract between Sardi Group LLC, doing business as Sardi Group Academy (the "Academy"), and the person who registers as an Ambassador of the La Flota Program (the "Ambassador").

The Ambassador acts as an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, agency, or franchise relationship between the Ambassador and the Academy.

The Ambassador freely determines his/her promotional means, timing, and tools within the limits established by this Agreement and the Affiliate Marketing Guidelines.

The Ambassador expressly acknowledges that he/she is not entitled to employment benefits, including without limitation workers' compensation insurance, unemployment insurance, health benefits, paid vacation, retirement plan contributions, or any other benefit reserved for employees.

The Ambassador is solely responsible for compliance with all his/her tax obligations in his/her jurisdiction, including income reporting, income-tax payment, and social-security contributions.

The Ambassador must disclose his/her relationship with the Academy in a clear, conspicuous, and unavoidable manner in any promotional content, in accordance with the Federal Trade Commission (FTC) guidelines and the Affiliate Marketing Guidelines.

The Ambassador shall not make misleading, false, or unsubstantiated statements regarding the Products, methods, results, or any characteristic of the Academy.

The Ambassador shall comply with consumer-protection, anti-spam, and advertising laws applicable in his/her jurisdiction (CAN-SPAM Act in the USA, GDPR in the EU, LGPD in Brazil, and equivalents in LATAM).

The Ambassador shall not make specific promises or guarantees of income, earnings, or financial results derived from the use of the Product.

During the term of this Agreement and for one (1) year after its termination, the Ambassador shall refrain from making defamatory, denigrating, or disparaging statements against the Academy, Sardi Group LLC, other Ambassadors, guest instructors, students, or third parties associated with Sardi Group Academy.

The Academy shall pay the Ambassador a commission of forty percent (40%) lifetime applicable exclusively on the one-time enrollment fee of "Travesía Completa" (USD 297), calculated on Net Revenue (total price net of applicable taxes, processing fees, and refunds) for each confirmed sale generated through his/her affiliate link.

The monthly subscription (USD 19/month) does NOT generate commission, as it covers ongoing platform, content updates, and community operating costs. Any other current or future product is excluded from this commission unless a written modification notice is issued at least 30 days in advance.

All payouts are processed exclusively through Stripe (single-rail payment processor). PayPal and other rails are not supported. Payouts are processed monthly within the first 5 days of the following month, provided the Ambassador has accumulated a minimum pending balance of one hundred U.S. dollars (USD 100). Balances below the minimum remain accrued until the threshold is reached.

U.S.-resident Ambassadors who receive cumulative payments exceeding USD 600 in the tax year will receive Form 1099-NEC. The Ambassador must provide a current Form W-9. Payments may be withheld until a properly completed W-9 is received.

An Ambassador who closes three (3) confirmed sales of "Travesía Completa" within the first sixty (60) days from activation shall receive a rebate equal to the amount he/she paid for his/her own Travesía enrollment (USD 297). The rebate is processed via Stripe credit to the original payment method after the 60-day window and after the refund guarantee on all three qualifying sales has expired.

If a sale attributed to the Ambassador is refunded to the buyer, the corresponding commission shall be automatically deducted from the Ambassador's balance, including future balances if the current balance is insufficient.

The Ambassador, also being a Crew Member (Tripulante) of the Academy, is subject to the Student Code of Conduct regarding the use of the course content acquired. Violation of the Student Code of Conduct is grounds for immediate termination of this Ambassador Agreement.

The Academy grants the Ambassador a limited, revocable, non-exclusive, non-sublicensable, and non-transferable license to use exclusively the Approved Materials (banners, swipe copy, official screenshots, high-resolution logos, FTC disclosure templates) provided by the Academy for promotional purposes only.

All trademarks (including "SARDI GROUP ACADEMY", "SARDI GROUP", "LA FLOTA", "TRAVESÍA", "STARSEEKER", and "COORDENADA"), methodologies, scripts, templates, and content remain the exclusive intellectual property of Sardi Group LLC.

The Ambassador shall NOT:

Upon termination of this Agreement, the Ambassador shall immediately cease all use of the Approved Materials, remove active affiliate links, and withdraw any reference to the Academy from his/her own channels within the following thirty (30) days.

The Ambassador shall keep confidential all non-public information received from the Academy, including internal metrics, marketing strategies, customer data, lists of Ambassadors, non-public commercial terms, and any other information identified as confidential.

The confidentiality obligation shall remain in force during the term of the Agreement and for three (3) years after its termination.

Information shall not be deemed confidential if it (a) is in the public domain at the time of disclosure, (b) was previously known to the Ambassador without an obligation of confidentiality, (c) is independently developed by the Ambassador, or (d) is required to be disclosed by judicial or regulatory order.

To the maximum extent permitted by applicable law, Sardi Group LLC shall not be liable to the Ambassador for indirect, incidental, special, consequential, or punitive damages. The total maximum liability of the Academy is limited to the amount of the Ambassador's pending commission balance at the time of the incident.

Either party may terminate this Agreement at any time by written notice with at least thirty (30) days' advance notice, with no need to state cause.

In the event of termination for serious breach (Section 7.2), the Academy may withhold or forfeit the pending commission balance as compensation for damages caused to the Academy and to other Ambassadors.

The Academy may amend this Agreement with thirty (30) days' notice to the Ambassador by email. Changes shall not apply retroactively to commissions already confirmed.

If any provision is deemed invalid, the remainder of the Agreement shall remain in full force and effect.
